Outbound License Terms

This clause governs the terms under which your company grants others the right to use your intellectual property, and it appears to be miscategorized as "real-estate" when it should relate to IP licensing. The clause specifies what rights you're granting (exclusive vs. non-exclusive), what the licensee can and cannot do with your IP, what they must pay you, and under what conditions the license can be terminated. Outbound license terms are critical because they define the boundaries of how others can exploit your valuable assets and generate revenue for your company. A poorly drafted outbound license can undermine your competitive position (if you grant too broad a license), fail to generate adequate revenue, or create enforcement challenges if the licensee misuses your IP.

Establish clear licensing policies before granting any outbound licenses, and ensure each license agreement specifies: (1) the exact scope of rights granted (field of use, territory, exclusivity), (2) quality control and approval rights, (3) payment terms and audit rights, (4) restrictions on sublicensing and derivative works, and (5) termination conditions. Consider whether you need exclusivity restrictions to protect your own business interests, and include provisions requiring the licensee to maintain confidentiality and use appropriate trademark notices. Document all licenses in a central registry and implement monitoring procedures to ensure licensees comply with their obligations.
