Alternative Performance

This clause allows the supplier to deliver goods or services in a different way than originally agreed if the standard method becomes impossible—for example, delivering by air freight instead of sea freight, or providing digital files instead of printed copies. It matters because it gives the supplier flexibility to meet their obligation without being in breach, but it could result in you receiving something different from what you bargained for. The legal principle here is that courts will sometimes allow "substantial performance" rather than exact performance if the difference is minor and the intent is fulfilled. However, if the alternative is significantly worse (slower, lower quality, more expensive for you), you should have the right to refuse it.

Only accept this clause if it requires the supplier to get your written approval before using an alternative method, and only if the alternative meets the same quality, timing, and cost standards as the original. Add language that says: "Alternative performance must be at no additional cost to the buyer and must be approved in writing before delivery." ---
